  • The first twenty-year concession agreement executed in the United States for the operation of a municipal wastewater treatment facility
  • The negotiation of a Utility Services Agreement with an equipment manufacturer.
  • Design Build Finance and Operate project for an industrial wastewater treatment facility.
  • Negotiation of hundreds of public/private partnerships for the design, construction and/or management of municipal water/wastewater systems with a total contract backlog value worth billions of dollars.

Environmental

  • Represent clients in Superfund allocation proceeds ending in recovery of millions of dollars expended in site remediation.
  • Acted as special counsel in the management of all environmental issues in a $400 million sale of a nuclear power plant.
  • Representing Potentially Responsible Parties in many listed Superfund sites and State-listed hazardous waste sites.
  • Coordinated environmental reviews for sellers in auctions of seven coal-fired electric generating stations.
  • Provided special environmental counsel to a global manufacturing company regarding the spin-off of its American subsidiary.
  • Procurement of an air emission permit on behalf of a waste-to-energy facility.
  • PSD and NSPS analyses for the modification of an existing air emission source.
  • Defense work in an administrative enforcement action by State and Federal authorities for violations of the Clean Water Act.
  • Project Finance
  • Rehabilitation of a solid waste management facility financed through the sale of IDA Bonds.
  • Acquisition of an investor owned utility through the sale of tax exempt bonds issued by a Not for Profit Corporation.

Mergers & Acquisitions

  • The purchase of a water/wastewater contract operations division of an international engineering firm by a water company.
  • The purchase of an equipment manufacturer by a national pipeline services company.
  • The merger of Italian and American manufacturers of chlorination equipment.
  • The formation of an equity JV between a software developer and a manufacturer and the subsequent acquisition by the manufacturer of the software developer’s interests in the JV.
  • Antitrust review and approval for the acquisition of the largest worldwide competitor in a mature industry.
  • Representation of management teams in management buyouts of engineering and high-technology businesses.

Manufacturing and Equipment Sales and Distribution

  • The formation of an equity joint venture between a U.S. and an Italian manufacturer and distributor of water pollution control equipment.
  • The drafting and negotiation of various manufacturing, distribution, supply and sales representative agreements.
  • The drafting of model forms and contracts for a major manufacturers of water pollution control equipment, including sales, lease, and service and O&M agreements.
  • Representing our clients in large-scale national and international equipment sales transactions.
