  • Brownfield Redevelopment: Elias Group LLP has helped clients resolve complex environmental, regulatory, and real estate issues associated with "brownfield" properties, where redevelopment is complicated by contamination problems. We cover the full range of business needs, including complete transactional support (i.e., permitting, regulatory approvals and financing) through dispute resolution and litigation support. Elias Group LLP's lawyers are recognized as leaders in environmental law, and our experience with brownfield sites ranges from large industrial and commercial properties to raw development sites, and covers all types of contamination issues, including hazardous waste, air quality, water quality, waste storage, and clean-up.
  • Acquisitions and Dispositions: Elias Group LLP has a multi-state practice in the acquisition and sale of commercial real estate. We are regularly involved on behalf of the buyers and sellers in an array of purchase and sale transactions. Our expertise include directing and performing multidisciplinary due diligence for the acquisition of commercial properties and negotiating and drafting of purchase and sale agreements. We also advise our clients in the creation of joint venture agreements, construction, and architectural contracts. Because Elias Group LLP has represented both buyers and sellers of properties, we're familiar with the myriad ways deals can be structured. We can therefore identify the critical legal and business issues involved, as well as craft creative solutions to complex problems. We have experience in counseling clients and helping to structure IRC Section 1031 exchange transactions, including reverse 1031 exchanges. We also have experience in advising clients acquiring real estate out of bankruptcy.
  • Commercial Leasing: Elias Group LLP has represented owners and tenants in their lease negotiations, including retail leases for anchor and in-line retail space as well as leases for office, industrial, and warehouse properties. We have negotiated retail leases for multi-store national tenants, and big box tenants. We handle matters ranging from complex, multi-state transactions to routine, smaller scale leasing transactions with expertise and efficiency. We use our extensive leasing and practical business experience to evaluate the complicated issues related to leasing transactions, devise practical solutions, and quickly close transactions. We have the experience and the perspective to engineer satisfactory solutions to finalize leases quickly and advise our clients on ongoing operational issues.
  • Financing Transactions: As borrower's and lender’s counsel, Elias Group LLP has considerable expertise in financings and re-financings of a large number of development properties, operating office and retail shopping centers and single tenant net leased properties throughout the United States. We have dealt with a wide variety of institutional and local lenders. The firm's experience in this area has allowed our clients to strike a balance between the lender's institutional strictures and the borrower's ability to develop and operate its property with maximum flexibility. Such financing transactions have included traditional single-lender mortgage loans, syndicated mortgage loans, bond-type financing, credit tenant financing, conduit financing, mezzanine loans, and construction loans.
  • Asset Management: Elias Group LLP assists owners and tenants in all facets of issues that arise in the ownership or occupancy of real estate, including the creation and negotiation of asset management agreements, hotel management agreements, and brokerage agreements.
